Terms and Conditions of Use

1. INTRODUCTION AND ACCEPTANCE

1.1 StrokePath is an online, subscription-based platform (the "Platform" or "StrokePath") that is a self-guided information service that makes available exercises, educational content, tools, guidance and recommendations intended to support persons who have experienced a stroke and those who care for them. StrokePath is owned and operated by StrokePath Proprietary Limited, registration number 2026/623728/07 ("we", "us", "our" or the "Operator").

1.2 These terms and conditions of use, together with our Privacy Policy and any other policy, rule or notice published on the Platform (collectively, the "Terms"), govern your access to and use of StrokePath and constitute a legally binding agreement between you and the Operator.

1.3 In these Terms, the user of StrokePath is referred to as the "Subscriber", "you" or "your", whether you access StrokePath as a person who has experienced a stroke, as a caregiver, or otherwise.

1.4 By registering for, subscribing to, accessing or using StrokePath in any way, you agree to be bound by these Terms. If you do not agree to all of these Terms, you must not register for, subscribe to, access or use StrokePath.

1.5 If you accept these Terms on behalf of another person (for example a stroke survivor in your care) or on behalf of a legal entity, you warrant that you are duly authorised to do so and to bind that person or entity to these Terms.

1.6 To the extent that the CPA applies to you, nothing in these Terms is intended or may be interpreted to unlawfully restrict, limit, avoid or waive any right or obligation created for you or the Operator under the CPA, and these Terms are subject to the CPA to that extent.

2. AMENDMENTS TO THESE TERMS

2.1 We may amend, update, add to or replace these Terms at any time. The amended Terms will be published on the Platform and will take effect on the date stated, or, if no date is stated, on the date of publication.

2.2 It is your responsibility to review these Terms each time you access StrokePath. Your continued access to or use of StrokePath after any amendment constitutes your acceptance of the amended Terms. Where the law requires us to give you advance notice of a material change (including a change to fees), we will do so in accordance with clause 16 and any applicable law.

3. ELIGIBILITY AND SUBSCRIBER WARRANTIES

By subscribing to or using StrokePath, you represent, warrant and agree that:

3.1 you are at least 18 (eighteen) years of age, are sound of mind and have the legal capacity to enter into a binding agreement;

3.2 all information you provide to us is true, accurate, current and complete, and you undertake to keep such information updated;

3.3 you are not accessing StrokePath in a medical emergency and you will not rely on StrokePath in any medical emergency. To the extent that StrokePath recommends that certain actions be taken in a medical emergency, you accept that these are recommendations based on best practice and are not the sole actions that should be taken;

3.4 if you use StrokePath in relation to, or permit its use by, another person (for example a person in your care), including a minor, you do so under your own supervision and responsibility, you have that person's informed consent or you are that person's parent, guardian or lawful representative, and you accept these Terms on their behalf. You remain liable and responsible for all such use and for all obligations under these Terms; and

3.5 you will use StrokePath only for lawful purposes and in accordance with these Terms.

4. MEDICAL DISCLAIMER

4.1 StrokePath does not provide medical advice. All content, exercises, programmes, tools, assessments, guidance and recommendations made available through StrokePath (collectively, the "Content") are recommendations based on international best practice and the appropriate guidelines and is provided for general recommendations, information and educational purposes only. StrokePath makes available, in a particular format on its platform, information and resources for the Subscriber or user to consider implementing. It remains the user's sole prerogative to implement the general recommendations and information provided.

4.2 The Content is not intended to be, and must not be used as, a substitute for professional medical advice, assessment, diagnosis, treatment, rehabilitation, therapy or the independent professional judgement of a qualified healthcare professional. Although the Content is reviewed by healthcare professionals in the neurorehabilitation practice area, StrokePath does not practise medicine, physiotherapy, occupational therapy, speech therapy or any other regulated healthcare profession, and no doctor-patient, therapist-patient or other professional-client relationship is created between you and the Operator.

4.3 Always seek the advice of your physician, physiotherapist, occupational therapist, speech therapist, dietician, psychologist or any other suitably qualified healthcare professional before beginning, changing or stopping any exercise, treatment or programme, and with any questions you may have regarding a medical condition or the recovery of any person in your care. Never disregard professional medical advice, or delay in seeking it, because of anything you have accessed on StrokePath.

4.4 If you think you or a person in your care may be having a stroke, or may have any medical emergency, call your local emergency services immediately (in South Africa, dial 10177 from a mobile phone or 112, or 082911). Do not use StrokePath to obtain assistance in an emergency.

4.5 Any reliance you place on the Content, or on any information provided by us, our personnel or contributors is strictly at your own risk.

4.6 You acknowledge that the Content is general in nature and is not tailored to the individual circumstances, condition, diagnosis, medical history or capabilities of any particular person. A stroke and its effects differ significantly from person to person. What is appropriate for one person may be inappropriate or unsafe for another.

5. ASSUMPTION OF RISK AND INFORMED CONSENT

5.1 This clause 5 is important and is specifically drawn to your attention. It concerns the risk of physical injury. Please read it carefully before subscribing to or using StrokePath.

5.2 You acknowledge and agree that physical exercise and rehabilitation activity carries inherent risks, including the risk of muscle, joint or soft-tissue injury, falls, fainting, cardiovascular events, aggravation of an existing condition, further stroke, serious bodily injury, permanent disability or, in rare cases, death. These risks may be heightened for persons who have experienced a stroke.

5.3 You are solely responsible for obtaining clearance from a suitably qualified healthcare professional before you (or any person in your care) undertake any exercise or activity described on StrokePath, and for ensuring that any activity is appropriate and safe having regard to the relevant person's specific medical condition, abilities and circumstances.

5.4 You voluntarily assume all risks associated with the use of StrokePath and with performing (or supervising the performance of) any exercise or activity made available through it. You use StrokePath, and undertake any such activity, entirely at your own risk and sole election.

5.5 You must stop any activity immediately and seek professional medical assistance if you or a person in your care experiences pain, dizziness, shortness of breath, discomfort, distress, sudden confusion, severe headaches, very high blood pressure, sudden swelling, persistent vomiting, chest pain, sudden speech changes, vision loss, loss of consciousness, new seizures, bruising or any other symptom that may indicate a medical problem or any sudden neurological change.

5.6 To the maximum extent permitted by law, the Operator, its directors, employees, contractors, contributors, licensors and suppliers will not be liable for any injury, loss, harm or damage of any nature arising from or in connection with any exercise or activity undertaken by you or any person in your care. Nothing in this clause purports to exclude any liability that cannot lawfully be excluded.

5.7 By subscribing to or using StrokePath, you confirm that you have read and understood these Terms and in particular this clause 5, that its nature and effect have been drawn to your attention, and that you knowingly and voluntarily assent to and assume the risks described in it.

6. SUBSCRIPTION, FEES AND PAYMENT

6.1 Access to StrokePath's features (or to certain features or parts thereof) requires a paid subscription. The subscription fee is payable for the subscription plan as displayed on the Platform at the time you subscribe (the "Subscription Fee"). Unless stated otherwise, fees are quoted in South African Rand and exclusive of VAT.

6.2 Payments are processed on our behalf by our third-party payment service provider, Paystack South Africa Proprietary Limited ("Paystack"), and/or such other payment service provider as we may appoint from time to time (each, a "Payment Provider"). Your use of the payment service is also subject to the Payment Provider's own terms and conditions and privacy policy. You authorise us and the Payment Provider to charge your nominated payment method for the Subscription Fee and any applicable taxes and charges. We may offer additional third-party payment options from time to time. Such services are provided by independent third parties and are subject to their respective terms and conditions. By selecting a Payment Provider at checkout, you acknowledge that you will enter into a separate agreement with that Payment Provider. We are not a party to, and shall have no responsibility or liability of any nature whatsoever in respect of, any such agreement, including any approval or decline decision, payment processing, or any fees, charges or penalties imposed by the Payment Provider.

6.3 Your subscription is a recurring monthly subscription. Unless and until you cancel in accordance with clause 7, you authorise us and the Payment Provider to automatically bill your nominated payment method the applicable Subscription Fee on a recurring basis, in advance, on each billing date, using the Payment Provider's recurring billing facility, until the subscription is cancelled or terminated.

6.4 We do not receive or store your full card details. Card and payment data are collected and processed by the Payment Provider through its secure, PCI-DSS compliant systems. You are responsible for ensuring that the payment details you provide are accurate and that you are authorised to use the nominated payment method. In order for us to process your payment, we may share your personal, contact and order information with the Payment Provider and its possible subcontractors, which may be within South Africa and/or in jurisdictions outside South Africa. We will share only where the recipient is subject to a law or binding agreement that provides an adequate level of protection, or under other safeguards permitted by POPIA. By subscribing to StrokePath, you consent to this sharing. You may withdraw your consent at any time (which will not affect lawful processing already undertaken, but may mean we cannot process certain payment methods for you). For details on how these providers process your information and your rights under POPIA, we refer you to their respective privacy policies.

6.5 If any payment fails, is declined, is reversed or is charged back, we may immediately suspend or terminate your access to StrokePath without notice, and you remain liable for all amounts owing. We may re-present failed payments and may recover any resulting or consequential costs and charges from you.

6.6 We may change the Subscription Fee or introduce new fees or plans from time to time. We will give you at least 30 (thirty) days' notice of any increase in the Subscription Fee applicable to you. Any change will take effect from your next billing cycle after the notice period. If you do not accept the change, your sole remedy is to cancel your subscription before the change takes effect.

6.7 You will be able to access the paid features of StrokePath for the period for which you have paid. We may offer a free trial, referral code discount, promotional period, health care partner rate or other promotional offer on terms notified to you. All promotional offers are valid for the period specified and while any applicable limits last. Unless you cancel before the end of any free trial, the trial will automatically convert to a paid subscription and you will be billed in accordance with these Terms. If you have qualified for a promotional offer in connection with your subscription and you then cancel your subscription during any promotional period, you must also return or forfeit any promotional benefit received. If a promotional benefit is not returned or forfeited, we may charge the full value of the benefit and deduct this amount from any refund otherwise payable to you.

6.8 StrokePath reserves the right to waive any Subscription Fee, in whole or in part based on the receipt of an application for a sponsored pass and a motivation and acceptance of such an application, in StrokePath's sole discretion.

6.9 We take reasonable steps to display accurate descriptions, features and prices on the Platform. However, should any error occur on the Platform that is not due to our gross negligence including an incorrect price, description or availability, we will not be bound by it and will not be liable for any loss, claim or expense relating to such error, save that, in the case of an incorrect price already paid by you, your remedy is limited to a credit of the amount overpaid. We may correct any such error and adjust or cancel any affected transaction.

6.10 We may set off any amount owing by you to us against any amount owing by us to you.

6.11 If you fail to pay any amount owing to us on the due date, you will be liable for interest on the overdue amount at the rate prescribed under the Prescribed Rate of Interest Act 55 of 1975 (or such other rate as may be permissible under applicable law), calculated from the due date until the date of payment, together with all costs reasonably incurred by us in recovering the amount, including legal costs on an attorney-and-own-client scale and collection and tracing fees.

7. CANCELLATION, COOLING-OFF AND REFUNDS

7.1 You may cancel your subscription at any time by using the cancellation function in your account settings. Cancellation will take effect at the end of the then-current paid billing period, and you will continue to have access until the end of that period.

7.2 Where the Electronic Communications and Transactions Act 25 of 2002 ("ECTA") applies to you, you may have a right to cancel this electronic transaction, without reason and without penalty, within 7 (seven) days after the date of the transaction, by written notice to us. You acknowledge that, by requesting access to the paid features of StrokePath immediately upon subscription, you are requesting that the provision of the service begins before the cooling-off period expires. Once you have accessed the paid features, the service will be deemed to have begun. You acknowledge and agree that where you have requested that the provision of the service begins immediately and the service has been fully performed, or where an exemption under ECTA applies, the statutory cooling-off right may not apply. This clause does not limit any right you may have under applicable law.

7.3 Except where a refund is required by applicable law, Subscription Fees are non-refundable and we do not provide refunds or credits for partial subscription periods, unused periods, or periods during which you did not use StrokePath.

7.4 We may cancel, suspend or terminate your subscription in accordance with clause 12.

8. SUBSCRIBER OBLIGATIONS AND ACCEPTABLE USE

You agree that you will not, and will not permit any other person to:

8.1 use StrokePath, or the Content, for any unlawful, fraudulent or prohibited purpose, or in any way that breaches these Terms;

8.2 reproduce, copy, sell, resell, rent, sub-licence, distribute, publish, publicly display, or commercially exploit any part of StrokePath or the Content without our express prior written consent;

8.3 share your login credentials, allow any other person to use your account, or maintain more than one account without our consent (your subscription is personal to you and non-transferable);

8.4 use any robot, spider, scraper, or other automated means to access, monitor, copy or harvest the Platform or the Content;

8.5 introduce any virus, malware, or other harmful code, or otherwise interfere with, damage, disable, overburden or impair the Platform, its servers, or networks, or the security or availability of StrokePath;

8.6 attempt to gain unauthorised access to any part of the Platform, other accounts, or any systems or networks connected to StrokePath;

8.7 reverse engineer, decompile or disassemble any software forming part of StrokePath, except to the extent permitted by law; or

8.8 use StrokePath in any manner that could damage the reputation of, or bring into disrepute, the Operator or StrokePath.

8.9 StrokePath may investigate and take appropriate action against any breach of this clause, including suspending or terminating your access, removing content, and reporting the matter to the relevant authorities.

9. INTELLECTUAL PROPERTY

9.1 All intellectual property rights, copyright and trademark in and to StrokePath and its Content, including, without limitation, all text, graphics, images, video, audio, exercises, programmes, compilations, data, software, trademarks, names, logos, look and feel, and know-how are owned by or licensed to the Operator and are protected by copyright, trade mark and other applicable laws. All rights not expressly granted are reserved.

9.2 Subject to your compliance with these Terms and payment of the Subscription Fee, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use StrokePath and the Content solely for your own personal, non-commercial use, and (where applicable) for the personal benefit of a person in your care.

9.3 You may not modify, remove or obscure any copyright, trade mark or other proprietary notice. If you breach these Terms, your licence terminates automatically and you must immediately cease using, and destroy any copies you have made of, the Content.

10. THIRD-PARTY LINKS, CONTENT AND SERVICES

10.1 StrokePath may contain links to, or content supplied by, third parties, including Paystack and other service providers. Third-party content and linked sites are provided for convenience only and do not constitute any approval, endorsement or warranty by us unless specifically stated.

10.2 We do not control and are not responsible for third-party content, linked sites, or third-party products or services, including their accuracy, completeness, reliability, availability, security or privacy practices. Your use of any third-party site or service is at your own risk and subject to that third party's terms and policies. Responsibility for the content of external links lies solely with the operators of the linked pages. No violations were evident to us at the time of linking. Should any legal infringement become known to us, we will remove the respective link promptly.

11. ACCOUNTS, SECURITY AND DATA PROTECTION

11.1 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@mystrokepath.com if you believe your account or password has been compromised.

11.2 We take all reasonable, technical and organisational measures to protect information provided by Subscribers. However, you acknowledge that no method of transmission over, or storage on, the internet is completely secure, and that information transmitted over an unsecured network (including email) may be intercepted or accessed unlawfully. To the maximum extent permitted by law, we are not liable for any loss or damage arising from unauthorised access to, or interception of, such information that is beyond our reasonable control.

11.3 We process personal information in accordance with the Protection of Personal Information Act 4 of 2013 ("POPIA") and our Privacy Policy, available at https://mystrokepath.com/privacy, which forms part of these Terms. Because StrokePath relates to health and stroke recovery, we may process information concerning your health and or biometrics (to the extent that you submit this information) , which constitutes "special personal information" under POPIA. We process this special personal information with your explicit consent (which you accept has been given freely and voluntarily and to which you were referred when accessing StrokePath), or where otherwise permitted by law, and we apply enhanced security measures to protect it. Please refer to our Privacy Policy for further details on how we process special personal information.

11.4 If you access StrokePath from outside South Africa, you are responsible for compliance with the laws of your own jurisdiction, and additional data-protection rights (for example, under the EU/UK General Data Protection Regulation) may apply.

11.5 You undertake to keep your account credentials confidential and must never disclose your password to any person. You acknowledge and agree that, once the correct username and password relating to your account have been entered, you will be liable for all transactions and activity effected under your account, whether or not that use is authorised by you, save to the extent that a transaction is cancelled or reversed in accordance with these Terms or applicable law.

11.6 To the maximum extent permitted by law, we will not be responsible for any loss or damage you suffer as a result of phishing, fraud, or the loss, theft or compromise of your username or password, unless you are able to establish that the loss was caused by our gross negligence. You must notify us immediately upon becoming aware of, or reasonably suspecting, any unauthorised access to or use of your account, and take reasonable steps to mitigate any resulting loss or harm.

12. SUSPENSION AND TERMINATION

12.1 We may, at our sole discretion and without liability, suspend, restrict or terminate your access to StrokePath (in whole or in part), with or without notice, if: you breach these Terms; any payment fails or is reversed; we suspect fraudulent, unlawful or harmful activity; we are required to do so by law or by a regulator; or we discontinue StrokePath or any part of it.

12.2 You may terminate this agreement at any time by cancelling your subscription in accordance with clause 7 and ceasing to use StrokePath.

12.3 On termination for any reason, your right to access StrokePath and the Content ends immediately. Termination does not entitle you to any refund except as required by law, and does not affect any rights, obligations or liabilities that accrued before termination.

12.4 Any provision which by its nature should survive termination, including clauses 4, 5, 9, this 12, 13, 14, 15, 16 and 17 will survive termination or expiry of this agreement.

13. DISCLAIMER

13.1 StrokePath and the Content are provided on an "as is" and "as available" basis, without warranties or representations of any kind, whether express, implied, statutory or residual, to the maximum extent permitted by law.

13.2 Without limiting the above, we do not warrant or represent that StrokePath or its servers are free of viruses or other harmful components. You are responsible for implementing your own security measures, including virus protection, to meet your requirements.

13.3 Any information, ideas or opinions expressed on StrokePath must not be regarded as professional advice. You are encouraged to obtain independent professional advice before acting on anything accessed through StrokePath.

13.4 We make no warranty or representation that the Platform, or any information or files available through it, are free of viruses, spyware, malware, trojans or other harmful code capable of corrupting, disrupting, disabling, harming or otherwise impeding the operation of any computer system, network, device, hardware or software. You accept all risk associated with the existence of such harmful code, save where such risk arises from our gross negligence or wilful misconduct, and you are responsible for implementing your own protective measures.

14. LIMITATION OF LIABILITY

14.1 To the maximum extent permitted by law, the Operator and its directors, employees, contractors, contributors, licensors and suppliers (collectively, the "Operator Parties") will not be liable to you or any person in your care for any direct, indirect, incidental, special, punitive or consequential loss or damage of any nature whatsoever including, without limitation, loss of profit, loss of data, loss of goodwill, business interruption, or any personal injury, deterioration or harm arising out of or in connection with: (a) your access to or use of, or inability to use, StrokePath or the Content; (b) any exercise, activity, or recommendation undertaken by you or any person in your care; (c) any reliance placed on the Content; (d) any act or omission of any third party (including Paystack); or (e) any unauthorised access to your data, whether the claim is based in contract, delict (including negligence), statute or any other basis, and whether or not the Operator Parties were advised of the possibility of such loss or damage.

14.2 To the maximum extent permitted by law, the total aggregate liability of the Operator Parties to you for all claims arising out of or in connection with StrokePath or these Terms will not exceed the total Subscription Fees actually paid by you to the Operator during the 3 (three) months immediately preceding the event giving rise to the claim.

14.3 Any claim you may have arising out of or in connection with StrokePath must be brought within 1 (one) year of the date on which the event giving rise to the claim occurred, failing which the claim will be waived and barred, to the extent permitted by law. This clause does not limit any claim period prescribed by the Consumer Protection Act or other mandatory law.

14.4 Nothing in these Terms excludes, limits or restricts any liability that cannot lawfully be excluded, limited or restricted. In particular, nothing in these Terms excludes or limits the Operator's liability for death or personal injury caused by the Operator's gross negligence, for fraud, or for any other liability that may not lawfully be excluded under the Consumer Protection Act 68 of 2008 ("CPA") or other applicable law. Where the CPA applies and any provision of these Terms is prohibited by or inconsistent with the CPA, that provision applies only to the extent that it is consistent with the CPA, and the remaining provisions continue to apply.

14.5 Each provision of this clause 14 operates separately. If any part is found to be unenforceable, the remaining parts continue to apply.

15. INDEMNITY

15.1 To the maximum extent permitted by law, you indemnify and hold harmless the Operator Parties against all claims, demands, actions, liabilities, losses, damages, costs and expenses (including legal costs on an attorney-and-own-client scale and other professional fees) arising out of or in connection with: (a) your access to or use of StrokePath; (b) any exercise, activity or recommendation undertaken by you or any person in your care; (c) your breach of these Terms or of any applicable law; or (d) your infringement of the rights of any third party.

16. DATA MESSAGES, NOTICES AND CERTIFICATE

16.1 We may give you notices by email to the address associated with your account, by posting on the Platform, or by any other reasonable means. You consent to receiving communications from us in electronic form.

16.2 A data message (including email) sent by us will be deemed to have been received by you when it is capable of being retrieved by you. A data message sent by you to us will be deemed received only once we have acknowledged or responded to it in writing. We are not liable for any failure to respond to any communication.

16.3 Notices to us must be sent to info@mystrokepath.com. Notices of a legal nature must be sent to our address set out in clause 19.

16.4 A notice delivered by hand will be deemed received on the date of delivery and a notice sent by email will be deemed received on the date of transmission, unless the sender receives an automated delivery-failure notification. This clause does not apply to the service of legal process, which must be effected at the address in clause 19.

16.5 A certificate signed by any of our authorised representatives (whose appointment need not be proved) as to the operation or functionality of StrokePath, the Content displayed on a given date, any amount owing by you, or any other fact relating to these Terms, will constitute prima facie proof of the matters stated, unless the contrary is proved.

17. GENERAL

17.1 Whole agreement - these Terms, together with the Privacy Policy and any policies published on the Platform, constitute the entire agreement between you and the Operator regarding StrokePath, and supersede all prior agreements, representations and understandings.

17.2 Severability - if any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect to the maximum extent permitted by law.

17.3 Waiver - no failure or delay by us in exercising any right will operate as a waiver of that right, and no waiver will be effective unless in writing.

17.4 Cession and assignment - you may not cede, assign or transfer any of your rights or obligations under these Terms. We may cede, assign, transfer, sub-contract or delegate any of our rights or obligations under these Terms to any third party without your consent, provided your rights are not materially prejudiced.

17.5 Force majeure - we will not be liable for any failure or delay in performing our obligations arising from any cause beyond our reasonable control, including internet or telecommunications failure, load-shedding or power failure, and acts of third parties (including Paystack).

17.6 No agency - nothing in these Terms creates any partnership, joint venture, employment or agency relationship between you and the Operator.

17.7 Headings - headings are for convenience only and do not affect interpretation.

18. GOVERNING LAW, JURISDICTION AND COMPLAINTS

18.1 These Terms and any dispute or claim arising out of or in connection with them, StrokePath, or their subject matter or formation (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of the Republic of South Africa.

18.2 You consent and submit to the jurisdiction of the South African courts in respect of all proceedings arising out of or in connection with these Terms or StrokePath. Without limiting our right to institute proceedings in any court of competent jurisdiction, you consent to the jurisdiction of the Magistrate's Court in Johannesburg in respect of any proceedings we may institute against you, even if the claim exceeds that court's monetary jurisdiction. This clause 18.2 does not limit any right you may have under the Consumer Protection Act or other applicable law to institute proceedings in a court or tribunal of competent jurisdiction.

18.3 Any agreement concluded between you and us by means of data messages is deemed to be concluded at the place where the acceptance of the offer leaves our information system, being Gauteng, South Africa.

18.4 If you have a complaint, please contact us first at info@mystrokepath.com so that we may try to resolve it. Where applicable, you may also refer certain complaints to the relevant regulator or ombud with jurisdiction, including the Information Regulator (in respect of personal information).

18.5 Nothing in this clause 18 or in these Terms limits, or is intended to limit, any right you may have to approach any court, tribunal, ombud or other forum of competent jurisdiction in terms of the CPA or other applicable law.

19. OPERATOR AND SUPPLIER INFORMATION
